1. Entry: The Rack Room Shoes HEYDUDE Holiday GWP (“Promotion”) starts on THE OPENING FOR BUSINESS ON OR AFTER November 5, 2025 while supplies last, but no later than the close of business on December 24, 2025 (the “Promotion Period”). To participate in the Promotion, visit any of the 30 participating Rack Room locations identified in “Exhibit A” (“Promotion Location”). The first forty-five (45) eligible people (see eligibility below) to make a purchase of HEYDUDE footwear at a Promotion Location after opening will receive a free gift of a HEYDUDE Country Hat provided by HEYDUDE (“Gift”). Only one Gift per eligible purchase. A copy of these Terms and Conditions can be accessed at the Promotion Location or on the Sponsor's website www.rackroomshoes.com/heydude.

2. Eligibility: Open only to persons who are 18 or older at the time of purchase, and who are legal residents of the United States.

3. General: All taxes and other expenses, costs or fees associated with acceptance of and/or use of the gift are the sole responsibility of the recipient. Gifts are not returnable for cash, credit or exchange. Any gifts remaining at the end of the promotion may belong to Sponsor and may be awarded, destroyed or distributed in Sponsor's sole discretion. Lost or stolen gifts will not be replaced. Sponsor is not responsible for use or misuse of the gift. See Sponsor's Privacy Policy available at www.rackroomshoes.com for information about how Sponsor uses and stores customer information. This Promotion is void where prohibited or restricted by law and is subject to applicable federal, state and local laws and regulations. By accepting the free gift, in this Promotion, each recipient 1) agrees to be bound by these Terms and Conditions, 2) agrees that the decisions of the Sponsor are final and binding and 3) warrants that s/he is eligible to participate in this Promotion.

4. Releases: By participating, participants agree (i) to release, discharge and hold harmless Sponsor and its respective affiliates, agents, representatives and employees from and against any and all injury, death, loss or liability, including tax liability or damages of any kind, in connection with the operation of the Promotion, or arising from your participation in this Promotion or resulting from acceptance, possession, use or misuse of the gift received in this Promotion, and (ii) that Sponsor is not responsible for, and shall have no liability, for: (a) any printing, typographical, mechanical or other error in the printing, advertising or administration of this Promotion; or (b) any other error or malfunction, or causes beyond Sponsor's reasonable control that jeopardizes the administration, security, fairness, integrity or proper conduct of this Promotion. Sponsor reserves the right to: disqualify any person it finds, in its sole discretion, has violated these Official Rules, the operation of this Promotion or any other aspect of this Promotion. Sponsor may cancel or suspend this Promotion in its entirety should tampering, unauthorized intervention, fraud, technical failures or other causes beyond Sponsor's control corrupt the administration, security, fairness, or integrity of this Promotion.

5. Governing Law; Venue. THIS PROMOTION IS GOVERNED BY THE LAWS OF THE UNITED STATES AND THE STATE OF NORTH CAROLINA. Each recipient of a Gift agrees that any unsettled disputes shall be individually resolved, without any form of class action, exclusively before a court located in Mecklenburg County, North Carolina. EACH PARTICIPANT EXPRESSLY AND IRREVOCABLY CONSENTS TO PERSONAL JURISDICTION IN THE STATE OR FEDERAL COURTS SITTING IN MECKLENBURG COUNTY NORTH CAROLINA. Entrants shall not be permitted to obtain awards for punitive, incidental, indirect, or consequential damages, including attorney's fees, and entrant waives all rights to have damages multiplied or increased.
